INWIT: SHAREHOLDERS 'MEETING APPROVES 2018 FINANCIAL STATEMENTS AND DIVIDEND DISTRIBUTION

►    THE FINANCIAL STATEMENTS FOR THE 2018 FINANCIAL YEAR THAT ENDED WITH A NET PROFIT OF 140.8 MILLION EUROS WERE APPROVED

►    THE DISTRIBUTION OF A DIVIDEND OF 0.211 EUROS PER SHARE WAS APPROVED

►    THE COMPANY'S REMUNERATION POLICY WAS APPROVED

►    SHAREHOLDERS' MEETING OF 12 APRIL: VOTING INTENTIONS OF SHAREHOLDER TIM SPA

The ordinary shareholders' meeting of Infrastrutture Wireless Italiane S.p.A. was held today under the chairmanship of Stefano Siragusa.

INWIT's shareholders' meeting:

  • approved the financial statements for the 2018 financial year of Infrastrutture Wireless Italiane S.p.A. which closed with a net profit of 140.8 million euros. The Shareholders' Meeting also approved the distribution of a dividend to the shareholders of € 0.211 for each ordinary share (excluding treasury shares in the company's portfolio) for a total of € 126.6 million. The dividend will be paid starting from 17 April 2019 (payment date) on the basis of the custody accounts at the end of the accounting day of 16 April 2019 (record date); the ex-dividend date will be 15 April 2019

  • approved the Company's remuneration policy for directors and executives with strategic responsibilities, with reference to the 2019 financial year.

 

During the proceedings the representative of the controlling shareholder announced its intention to abstain from the vote for the replacement of the current auditors (PWC), scheduled for the Shareholders' Meeting of 12 April 2019. The initiative was motivated by the inappropriateness of the change (with all the attendant operating costs) pending the plan for integration with the towers of Vodafone Italia announced on 21 February. The Meeting will therefore take place, but - in the light of the declared voting intentions of TIM S.p.A. - it should be noted henceforth that it will not be able to take any decision in this regard.
