Telecom Italia Media: list of candidates for the election of the new Board of Directors submitted

With reference to the Ordinary Shareholders’ Meeting called on 10 April 2014 (single call), to pass resolutions, inter alia, on the appointment of the Company's Board of Directors, Telecom Italia Media announces that on today's date one sole list of candidates has been filed by the shareholder Telecom Italia S.p.A. (which holds a 75.46% stake in Telecom Italia Media’s ordinary capital). The list includes the following candidates:

1.       Severino Salvemini, born in Biella on October 21, 1950

2.      Massimo Bergami*, born in Bologna on October 2, 1964

3.       Chiara Della Penna*, born in Rome on January 27, 1975

4.      Adriano De Maio *, born in Biella on March 29, 1941

5.       Lorenzo Gorgoni*, born in Cutrofiano (Lecce), on November 8, 1942

6.      Valeria Lattuada*, born in Milan on May 10, 1970

7.       Piergiorgio Peluso, born in Rome on March 25, 1968

8.      Paola Schwizer*, born in Milan on May 30, 1965

9.      Giuseppe Soda*, born in Gorgonzola (Milan) on April 2, 1967

The candidates who have declared themselves independent are marked with an asterisk.

Telecom Italia S.p.A. also declared it intends to propose to the General Shareholders' Meeting:

  • to set at nine the number of members of the Board of Directors
  • to set at three financial years, and thus until the General Shareholders’ Meeting called to approve the financial statements for the year ending 31 December 2016, the term of the Board of Directors to be appointed;
  • to set at a maximum of 650.000 euro the overall gross yearly remuneration of the Board of Directors, pursuant to Article 2389, paragraph 1, of the Italian Civil Code. The amount will have to be split among its members, in accordance with the decisions taken by the Board of Directors in this regard;
  • to authorise the candidates for the post of member of the Board of Directors to continue to carry out their activities as indicated in their resumes and, in any case, to allow the members of the Company’s Board of Directors not to be bound by the competition prohibition pursuant to Article 2390 of the Italian Civil Code.

By Thursday, 20 March 2014, the detailed information and the documentation required by Article 144-octies, paragraph 1, letter b) of the Rules for Issuers — specifically, the candidates’ resumes and declarations — will be made available to the public at the Company’s registered office, on the Telecom Italia Media website at http://www.telecomitaliamedia.it/ as well as Borsa Italiana’s website at http://www.borsaitaliana.it/.
